Q. What is the difference between Series A Common Stock and Common Stock?
USPages.net, Inc. is issuing two classes of stock via this offering:
Series A Common Stock. This class of stock is being issued through the Promotional Stock Giveaway and shares may only be acquired by registering in the Company's database while visiting this website.
Common Stock. This class of stock is being issued to customers of the Company's website building and website hosting services for purchases made during their first year with the Company.
These two classes of stock possess equal rights with two exceptions. Briefly, Series A Common Stock is issued "without certificate" and holders of Series A Common Stock may only vote on Company issues that affect the attributes of this class of stock. Please refer to the Disclosure Document for a full discussion of the rights of these securities. Even though Series A Common Stock is issued without the automatic issuance of a physical certificate, a shareholder may either self-print a certificate at no charge (which must subsequently be endorsed by the Company) or may request a Company-printed certificate for a fee of US $10.00. The Series A Common Stock giveaway is intended to be strictly a promotional offering and can not result in significant stock accumulations, as a single individual is limited to a maximum of two Series A Common Stock shares. Acquisition of a significant number of USPages.net, Inc. shares is only possible by being issued Common Stock as a result of making website building and/or website hosting purchases.
